To register a Hong Kong Limited Company, the basic requirements are:
- At least one shareholder (any nationality)
- At least one director (any nationality)
- Appointment of a company secretary (Prepdy can act as your named company secretary and manage all statutory obligations)
- A proposed company name (in English, Chinese, or both)
- A registered address in Hong Kong (Prepdy can provide registered address)
To incorporate a Hong Kong company, you will need to provide the following information:
- Proposed Chinese company name (must end with "有限公司")
- Proposed English company name (must end with "Limited")
- Total number of shares (e.g., 100 shares at HK$1=HK$100 capital)
- Shareholding allocation among shareholders (e.g., if there are 100 shares: Shareholder A holds 70 shares=70%; Shareholder B holds 30 shares=30%)
- Passport and identity card copies of all shareholders
- Passport and identity card copies of all directors
- Residential addresses of all shareholders and directors

In accordance with the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615) and as a licensed Trust or Company Service Provider (TCSP), we are legally required to perform periodic due diligence on all clients. This fee includes but is not limited to the following procedures:
- Verification of identity and address proof for directors, shareholders, and Ultimate Beneficial Owners (UBOs)
- Background checks on individuals or corporate entities
- Risk assessment and record retention
- Screening against sanctions lists and politically exposed persons (PEPs)
Note: For cases involving multi-layered ownership structures, offshore companies, or high-risk jurisdictions, fees may be quoted separately based on complexity.
At Prepdy, we follow a streamlined and fully compliant process to ensure your Hong Kong company is set up accurately and efficiently. Here's how we work with our clients, every step of the way:
Step 1: Submission of Required Information
The client provides the basic company setup details, including proposed English and/or Chinese company names, shareholding structure, identification documents of directors and shareholders, and their residential addresses.
Step 2: Company Name Availability Check
Before proceeding, Prepdy will check whether the proposed company name is available for registration. If the name is unavailable, we will promptly communicate with the client to suggest and confirm alternative name options.
Step 3: Due Diligence & Initial Document Preparation
We will communicate with the client to gather the necessary background information on all directors and shareholders, and conduct internal screening procedures in accordance with AML regulations. At the same time, we will prepare the due diligence documents and draft the initial incorporation paperwork, which will be sent to the client for review and confirmation prior to submission.
Step 4: Identity Verification via Video Call
To meet regulatory requirements, we'll arrange a video call with all directors and shareholders. During this session, Prepdy will verify identity documents (e.g. passport, ID card) through real-time online verification.
Step 5: Preparation and Submission of Incorporation Documents
Once details are confirmed, Prepdy will prepare and submit the Incorporation Form and Articles of Association to the Companies Registry. Incorporation usually takes around 5–7 working days depending on processing time.
Step 6: Issuance of Documents & Company Kit Preparation
After the company is successfully incorporated, Prepdy will email the official documents (e.g. Certificate of Incorporation, Business Registration) to the client, along with any documents requiring signature. At the same time, the Company Kit will be prepared.
Step 7: Document Signing
Directors and shareholders will sign the emailed documents and return scanned copies to us. We will review all signed documents for accuracy and proper execution.
Step 8: Delivery of Company Kit & Final Documents
Prepdy will arrange shipment of the full Company Kit and official documents to the client's designated address, completing the incorporation process.
